Digi International Comments on Latest Letter from Belden Inc.


Digi International (News - Alert)® Inc. (NASDAQ: DGII) ("Digi" or the "Company"), a leading global provider of machine-to-machine (M2M) and Internet of Things (IoT) connectivity products and services, today commented on the letter delivered earlier this morning by Belden Inc. (NYSE: BDC) ("Belden") to Digi's Board, which again reiterated Belden's previously disclosed conditional and non-binding proposal to acquire the Company for $13.82 per share.

The Company stated that its Board, with its independent financial and legal advisors, has reviewed and rejected Belden's proposal on multiple occasions, determining that the proposal significantly undervalues Digi and its future growth prospects and is not in the best interest of the Company and its shareholders. Given that Belden's latest letter reiterates the same proposal, the Company stated that there is no basis for discussions between the two companies.

Stephens Inc. is serving as financial advisor to Digi and Faegre Baker Daniels LLP is serving as its legal counsel.
